These Terms of Service (“Terms”) govern your access to and use of the services provided by MEDORAYA HEALTH PRIVATE LIMITED, operating the YTAL brand (“we,” “us,” “our,” or the “Company”), through our websites, mobile applications, web dashboards, APIs, SDKs, integrations, and related platforms and all other services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
Acceptance of Terms
By accessing, registering for, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.
Definitions
- “User” means any individual or entity that accesses or uses the Services, including patients, caregivers, clinicians, healthcare organization staff, researchers, insurers, enterprise administrators, and others.
- “Account” means your user account registered with the Services.

Eligibility
You represent and warrant that you are at least 18 years old or accessing the Services on behalf of an organization with authority to bind that organization to these Terms.
User Representations and Warranties
- You possess the knowledge and judgment necessary to decide whether to use the Services or rely on any content.
- You understand that the Services may not provide the most suitable solution for health-related issues and that you must consult a qualified professional for advice appropriate to your situation.
- You will not rely solely on the Services or any information therein for decisions requiring professional judgment.
- You have the legal authority to enter into and be bound by these Terms.
- All information you provide is accurate, truthful, and not misleading.
User Accounts
- You must provide accurate and complete information when registering for an Account.
- You are responsible for safeguarding your account credentials and for all activity under your Account.
- You shall notify us immediately of any unauthorized use of your Account.
Medical and Emergency Disclaimer
The Services are designed to facilitate access, coordination, communication, and information exchange among users. The Services may include educational, informational, or AI-generated content and tools to support health-related decision-making. However, the Services are not a substitute for professional medical advice, diagnosis, or treatment. Reliance on content, information, or recommendations provided through the Services is at your own risk.
The Services are not intended for use in medical emergencies or urgent health situations. If you believe you are experiencing a medical emergency, immediately contact your local emergency number or seek immediate medical assistance. We do not provide emergency services and do not guarantee accurate or real-time responses.
License to Use the Services
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal purposes. All rights not expressly granted are reserved by us.

Acceptable Use & Prohibited Conduct

Healthcare Professionals and Third Parties
If the Services provide access to healthcare professionals, advisors, or third parties, such access is provided for convenience only. We do not endorse or guarantee advice, information, services, or outcomes from those interactions.
Technology Platform Role
The Company operates as a technology platform that facilitates access, communication, and information exchange among users. We are not a party to and do not control relationships, agreements, or interactions between users, including between patients, caregivers, doctors, healthcare professionals, hospitals, research institutions, organizations, and third parties.
User-Generated Content
You retain ownership of your content but grant us a worldwide, royalty-free, non-exclusive license to use, store, process, transmit, display, reproduce, modify, distribute, and make available such content in connection with the Services. You are solely responsible for your content and its legality.
Privacy and Data Protection
Our Privacy Policy explains how we collect, use, share, and protect personal and sensitive information. Enterprise users are responsible for ensuring their use of the Services complies with applicable healthcare, data protection, and regulatory requirements.
Intellectual Property
We and our licensors own all intellectual property rights in and to the Services, including software, interfaces, content, trademarks, modifications, and derivative works. You retain ownership of data or content you upload, subject to the license granted above for providing the Services.
Subscription Fees, Payments, and Billing
If you or your organization subscribes to paid features, you agree to pay all specified fees. Fees are non-refundable except as required by law, and we may revise fees upon notice. Standard carrier messaging, data, and other fees may apply for mobile features.
Termination and Suspension
You may discontinue using the Services at any time. We may suspend or terminate your access, in whole or in part, at any time and for any reason, including violation of these Terms, harm risk, or legal requirement. Upon termination, your rights to use the Services cease immediately.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AI-generated content is based on data patterns and should not be interpreted as certified advice. AI outputs may be biased, inaccurate, or incomplete. You agree not to rely solely on AI-generated content and that decisions based on such content are made at your own risk.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICES, INCLUDING LOSS OF DATA, REVENUE, OR PROFITS.
Indemnification
You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, co-founders, employees, agents, and others from claims, liabilities, losses, damages, and expenses arising from your breach of these Terms or misuse of the Services.
Modifications to the Terms
We may modify these Terms by posting the revised version on the Services with an updated effective date. Continued use after posting signifies acceptance of the changes.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms in connection with merger, acquisition, restructuring, or sale of assets.
Governing Law and Dispute Resolution
These Terms shall be governed by the laws of India – Delhi. You and we submit to the exclusive jurisdiction of the courts located in Delhi, India for disputes arising under these Terms.
Force Majeure

Survival, Severability, and Entire Agreement
Provisions that by their nature should survive termination shall survive. If any provision is held invalid, the remaining provisions continue in effect. These Terms, the Privacy Policy, and incorporated policies constitute the entire agreement between you and the Company regarding the Services.
